1. Acceptance of Terms

By accessing or using NextWave ("the Platform", "we", "us", or "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the Platform.

These terms apply to all visitors, registered users, merchants, service providers, and any other party who interacts with the Platform in any way.

2. Description of Services

NextWave is a peer-to-peer mutual support and commerce ecosystem that enables members to:

  • Provide financial support to other verified members ("Provide Support") and receive support in return ("Get Help") through a structured matching system.
  • Buy and sell physical products via the integrated marketplace.
  • Offer and hire professional services through the services directory.
  • Earn referral bonuses by inviting new members to the Platform.
  • Access collateral facilities and financial packages subject to eligibility.

The Platform facilitates these transactions but is not a bank, financial institution, or licensed investment vehicle. Participation in the mutual support system is voluntary and community-driven.

3. Eligibility

To register and use the Platform, you must:

  • Be at least 18 years of age.
  • Be legally capable of entering into a binding contract in your jurisdiction.
  • Provide accurate, current, and complete information during registration.
  • Not be prohibited from using financial services under applicable law.
  • Not have had a previous account suspended or terminated for violations of these Terms.

4. Account Registration and Security

When you create an account, you agree to provide truthful information and to keep your credentials confidential. You are solely responsible for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate any account found to contain false information, to be in violation of these Terms, or to pose a risk to the integrity of the Platform or its members.

5. Trust Wallet and Transaction Obligations

All members are required to maintain a valid Trust Wallet balance on the Platform as a condition of participation in the mutual support system. Failure to complete a Trust Wallet transaction within the designated time window will result in the automatic rejection of that transaction and may lead to the suspension of your account.

When you are matched with another member for a Provide Support transaction, you are obligated to complete the payment within the stated time limit. Failure to do so will result in account suspension and the automatic re-assignment of the transaction to protect the receiving member.

6. Referral Programme

You may invite others to join the Platform using your unique referral code or link. Referral bonuses are credited to your account in accordance with the bonus structure published on the Platform at the time of the referral. We reserve the right to modify, suspend, or terminate the referral programme at any time.

Abuse of the referral programme — including creating fake accounts, self-referrals, or any form of manipulation — is strictly prohibited and will result in permanent account termination and forfeiture of all bonuses earned.

7. Marketplace and Services

Merchants and service providers on the Platform must apply for and receive approval before listing products or services. By listing on the Platform, you warrant that:

  • All products and services are lawful, accurately described, and genuinely available.
  • You have the legal right to sell or offer the listed items.
  • All transactions will be conducted honestly and in good faith.

Buyers and sellers agree that disputes arising from marketplace transactions will be handled through the Platform's dispute resolution process. Fraudulent buyers or sellers are subject to account suspension, collateral deductions, and reporting to relevant authorities.

8. Prohibited Activities

You agree not to engage in any of the following:

  • Fraud, misrepresentation, or deceptive conduct of any kind.
  • Money laundering, terrorism financing, or any other illegal financial activity.
  • Creating multiple accounts to circumvent restrictions or game the matching system.
  • Harassment, threats, or abuse of other members or Platform staff.
  • Uploading false proof-of-payment documents.
  • Attempting to hack, disrupt, or reverse-engineer the Platform.
  • Using automated bots or scripts to interact with the Platform.

9. Dispute Resolution

In the event of a dispute between members, the Platform provides an internal resolution mechanism. Both parties agree to cooperate fully with any investigation. Platform administrators reserve the right to make final and binding decisions on disputes, including the suspension of accounts and the deduction from collateral balances where fraud or non-delivery is determined.

Where disputes cannot be resolved internally, members may seek independent legal remedy. The Platform's liability in any such matter is limited to the extent permitted by law.

10. Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access or the accuracy of information on the Platform. To the fullest extent permitted by law, NextWave shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Platform.

11. Modifications to Terms

We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform following any change constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.

12. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which the Platform operates. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
